What We Do

Organizations considering strategic transactions need extensive support prior to and throughout the deal life cycle to guarantee the best possible outcomes. Buy-side financial diligence: Our buy-side clients rely on our capabilities across the entire life cycle of a merger, acquisition or other transaction. We help buyers assess historical performance of the organizations to be acquired, predict projected performance, review working capital trends, assess balance sheet exposure, provide insight into financial and business risks associated with the proposed transaction, identify integration challenges, and negotiate the purchase.

Sell-side financial diligence: On the sell-side of a business sale, divestiture or carve-out, our clients rely on us to help them anticipate all potential issues and questions that might be raised by buyers and their advisors. As we do on the buy-side, we help sellers assess historical performance, predict projected performance, review working capital trends and assess balance sheet exposure, identify separation challenges and assist with sale negotiations.

Commercial diligence: Clients rely on our commercial due diligence experts to help them assess, identify and define opportunities to capture revenue, new customers and new businesses. We provide market and company assessments, including customer interviews and assessments; market size evaluations; market share growth assessment and strategy; demand modeling; M&A, antitrust and competition assessments; competitor assessment and assessment of KPIs; value proposition and brand perception assessment; and strategic partnership evaluations.

Merger Integration / Carve-out: Clients rely on our expertise to drive value through the creation of integration plans that enable successful execution of your strategic objectives while optimizing revenue and cost synergies. You benefit from the breadth and depth of our service offerings that support you throughout the entire M&A transaction life cycle, from pre-deal efforts through post-integration. Clients rely on our experts to: Provide an optimal support team with the required industry and transaction expertise, Assess standalone, one-time and stranded costs in a carve-out situation, Execute Day 1 through Day 100+ cross-functional interim and desired state planning, including timing for revenue and cost synergy capture, Serve as interim management to fulfill needed leadership gaps during a carveout or management transition, Develop, create and implement organizational design changes, culture and change management programs and pre- and post-close communications plans

What You Will Do

A Transactions Intern or consultant at the undergrad or MBA level plays a dynamic role on a project team, supporting the wider engagement team and the client on a day to day basis. Tasks can range from delivering / creating the analytics required to assess the clients’ current state, to supporting the creation and delivery of our solutions and plans to implement our recommendations. This is both a “hands-on” and analytical role, requiring travel to work onsite side by side with our clients, wherever it may be.
