What We Do
Organizations considering strategic transactions need extensive support prior to, during and after the deal to guarantee the best possible outcomes. Clients rely on FTI Consulting to help identify and address challenges, and successfully execute every step of a transaction. Leading with our industry expertise and deep deal experience, we advise both corporate and financial clients throughout the life cycle of the deal to strategize, diligence (finance, operational, tax, technical, IT and commercial), integrate or separate, value, and communicate around transactions.
Financial Due Diligence (FDD): Our private equity, corporate and investment banking clients rely on our capabilities across the entire life cycle of a merger, acquisition, divestiture, or other transaction. We help buyers and sellers assess historical performance of the target organizations, predict projected performance, review working capital trends, assess balance sheet exposure, provide insight into financial and business risks associated with the proposed transaction, identify integration challenges, and negotiate the purchase.
Commercial Due Diligence (CDD): Clients rely on our commercial due diligence experts to help them assess, identify and define opportunities to capture revenue, new customers and new businesses. We provide market and company assessments, including customer interviews and assessments; market size evaluations; market share growth assessment and strategy; demand modeling; M&A, antitrust and competition assessments; competitor assessment and assessment of KPIs; value proposition and brand perception assessment; and strategic partnership evaluations.
Merger Integration / Carve-Outs (MICO): Buyers and Sellers rely on our expertise to drive value and ensure success across each step of the transaction lifecycle – starting from the deal strategy (revenue and cost synergy analysis, standalone cost modeling, operational due diligence), through ensuring a successful deal closing (Day 1 readiness, target operating model, synergy capture design and Transaction Management Office) and into post-Close value creation (separation execution, synergy delivery, and business transformation). Our services provide a full view of the strategic, financial, operational and commercial considerations facing our clients and they look to us to guide them and manage the day to day of the merger, integration, or divestiture.
What You Will Do
A Transactions Intern or Consultant at the undergrad or MBA level plays a dynamic role on a project team, supporting the wider engagement team and client on a day-to-day basis. Activities can range from creating financial models and analytics to assess and inform key client decisions, to designing recommendations with detailed delivery plans and executing on those plans. This is both a “hands-on” and an analytical role, requiring travel to work onsite with our clients and your fellow team members.
