What We Do

The Transactions – Merger Integration & Carve-Outs team is focused on providing insights and guiding clients during periods of transition leading up to, during and / or subsequent to a acquisition or divestiture. By analyzing and understanding financial and operational data of our clients (sell-side) and acquisition targets (buy-side), we provide a comprehensive operational due diligence, merger integration or carve-out assistance, transaction support, post-acquisition integration or carve-out, and assistance with synergy realization and TSA management. By producing and delivering high quality work, we allow our clients to make informed decisions when investing or recovering their capital. Our group advises clients on a full spectrum of business and operational challenges faced by companies, boards, private equity sponsors, and other stakeholders within all industries and markets across the globe.

Example Projects

We led commercial and operational due diligence of two back-to-back acquisitions by Cincinnati Bell in addition to managing the integration planning for the acquisitions which include integration management office, functional teams, organization design, and employee and investor communications. The functional teams include sales, operations, network planning, marketing, F&A, IT, and HR.

We conducted a comprehensive DD (FDD, ODD, ITDD) to identify appropriate valuation for the PE company. FTI identified an EBITDA improvement opportunity of $33M-$55M and significant revenue synergy as well. The Synergy savings projects included manufacturing and shipping, SG&A, procurement savings, and R&D savings.

We were hired by the Board of Directors to fill the role of Chief Financial Officer, interim Treasurer and interim FP&A Director and support. We did the financial analysis within the company, structured go-forward finance procedures and policies, setting the company up for long term success, and created several financial planning tools that are used to this day.

We were retained by the client through discrete engagements for each product area to assess the prospects, pathway and viability of market entry or expansion. We examined technology sourcing options, marketing needs and customer interface strategies to assess whether partners were needed to successfully implementing the product diversification. Developed a view of capital investment requirements, potential production economics, netbacks from serving the target markets and expected returns on investment.

What You Will Do

A Transaction Merger Integration and Carve-Out Intern or consultant at the undergrad or MBA level plays a dynamic role on a project team, supporting the wider engagement team and the client on a day to day basis.  Tasks can range from delivering / creating the analytics required to assess the clients’ current state, to supporting the creation and delivery of our solutions and plans to implement our recommendations. This is both a “hands-on” and analytical role, requiring travel to work onsite side by side with our clients, wherever it may be.

The smaller makeup of our engagement teams offers exposure to executive-level stakeholders, and you will not be tied to any one specific industry vertical or project type. The Transactions segment has teams across the country in Atlanta, Chicago, Dallas, Denver, Houston, and New York City.

  • Typically, we host a team dinner the evening before to meet members of the team
  • The interview day consists of 3-4 one-on-one interviews (case based) and a possible larger team case study*
